MEMBERSHIP AGREEMENT

1. Parties

a) YirmiBeş Oniki Hazır Giyim Sanayi ve Ticaret Ltd. Şti., located at Güngören/Istanbul, operating the website www.2512wholesale.com (hereinafter referred to as 2512WHOLESALE).

b) The internet user who registers on the website www.2512wholesale.com.

2. Subject of the Agreement

The subject of this agreement is to determine the terms and conditions for the use of the website www.2512wholesale.com by the member. To establish this membership agreement, it is sufficient to enter the required membership information and choose a password, completing the membership by giving the specified consents and/or approvals. We kindly ask you to provide accurate, complete, and error-free information such as name, email address/phone number, and other mandatory details. If you notice any mistakes, please correct them. After completing the membership process, any deficiencies or mistakes noticed can be corrected by accessing the "My Account" section or by contacting customer service at +90 536 386 31 32.

3. Rights and Obligations of the Parties

3.1 The member declares and undertakes that the personal and other information provided during registration to the website is correct, and that they will compensate 2512WHOLESALE for any damages caused by the inaccuracy of this information.

3.2 The member shall not share the password provided by 2512WHOLESALE with any third party or organization. The member's right to use the password belongs solely to them. The member shall bear all responsibility and indemnify 2512WHOLESALE against any claims or demands arising from unauthorized use of the password.

3.3 The member agrees and undertakes to comply with the legal regulations when using the website. Otherwise, all legal and criminal liabilities will solely and exclusively bind the member.

3.4 The member may not use the website in a way that violates public order, is contrary to general morality, disturbs or harasses others, is for illegal purposes, or infringes on the intellectual property rights of others. The member is also prohibited from engaging in activities that prevent or make it difficult for others to use the services (e.g., spam, viruses, trojans, etc.).

These opinions and statements have no relation or connection with 2512WHOLESALE. 2512WHOLESALE is not responsible for any damages caused to third parties due to the views expressed by the member or for any damages the member may incur due to opinions expressed by third parties.

3.6 2512WHOLESALE will not be responsible for any damages caused by unauthorized access to member data or software. The member agrees that they will not demand any compensation from 2512WHOLESALE for any damages that may occur due to the use of the website.

3.7 The member agrees not to access or use the software or data of other internet users without authorization. Any legal or criminal responsibilities arising from unauthorized access will entirely be the responsibility of the member.

3.8 The member will be personally responsible for any criminal or legal consequences if they violate any provision of this agreement. In such cases, 2512WHOLESALE will be exempt from the legal and criminal consequences.

3.9 2512WHOLESALE has the right to delete the member's membership and erase all files, documents, and data at any time unilaterally. The member accepts this provision in advance and acknowledges that 2512WHOLESALE has no responsibility in such cases.

3.10 The software and design of the Black Fashion website are owned by 2512WHOLESALE and are protected by copyright and/or other intellectual property laws. These may not be used, acquired, or altered without authorization by the member. Other companies and products mentioned on the website are trademarks of their respective owners and are also protected by intellectual property laws.

3.11 2512WHOLESALE may collect certain information related to the internet service provider's name, IP address, access time, accessed pages, and the website from which the user was referred, for improving and developing the website or as required by law.

3.12 2512WHOLESALE may disclose personal information of the member when required by law, or when necessary to comply with legal requirements or to protect the rights and property of the website.

3.13 The website has been designed to be free of viruses and similar harmful software. However, the member is responsible for ensuring their own virus protection. The member accepts responsibility for any errors or damage arising from the software or operating systems used during their access to the website.

3.14 2512WHOLESALE reserves the right to change the content of the website, modify or discontinue any service, or delete registered user data at any time.

3.15 2512WHOLESALE may modify, update, or cancel the conditions of this agreement at any time without prior notice. Any modified, updated, or canceled provisions will take effect as of their publication date for all members.

3.16 The parties agree that all computer records of 2512WHOLESALE will be accepted as the only and exclusive evidence and that these records constitute an evidence agreement.

3.17 2512WHOLESALE has the right to send informational emails and SMS messages to the member's registered email address and phone number. The member accepts this upon agreeing to this membership agreement.

3.18 All credit card transactions and approvals on our website are carried out online by the relevant bank or card institution, independently of our company. The member is solely responsible for any issues such as payment disruptions, phishing attacks, etc. Our company will not view any sensitive banking information, and connections to secure payment platforms provided by banks will be used.

3.19 The security and usage terms published on our website apply. Our company is not responsible for any disputes, damages, or losses arising from third-party sites or mobile applications that users access through our website.

3.20 The order information form and distance sales contract terms will apply for every transaction made on our website.

4. Termination of the Agreement

This agreement will remain in effect until the member cancels their membership or 2512WHOLESALE terminates the membership. 2512WHOLESALE reserves the right to terminate the agreement unilaterally if the member violates any provisions of the agreement.

5. Resolution of Disputes

We are pleased to address our members' legitimate requests and complaints. If this is not possible, members can apply to the Consumer Arbitration Committees and Consumer Courts in their local jurisdiction within legal monetary limits. For any disputes arising from this agreement, the Courts of Istanbul will have jurisdiction.

6. Effectiveness

This agreement enters into force when the member completes their membership registration process.
